1. Agreement to Terms
Welcome to Webnity Digital. These Terms & Conditions govern your use of the Webnity Digital website (webnitydigital.com.au) and the purchase of any of our services, including Web Design, SEO, Google Ads, eCommerce development, and Digital Strategy. By accessing our website or engaging our services, you ("the Client") agree to be bound by these terms. These terms are governed by the laws of South Australia.
2. Services & Scope
Webnity Digital Pty Ltd (ABN 55 692 115 432) will provide services as outlined in the specific Proposal or Service Agreement provided to you. Any work outside the agreed scope will be treated as a separate project or charged at our standard hourly rates. We reserve the right to decline any project without explanation.
3. Payment & Invoicing
- Deposits: A non-refundable deposit (typically 50%) is required before any project work commences.
- Invoicing: Final payment must be made within 7 days of project completion, or before the website "goes live".
- Taxes: All prices are subject to GST unless otherwise stated.
- Ongoing Services: Monthly services (SEO, Ads management) are billed in advance on a recurring basis.
4. Client Obligations
Successful project delivery relies on your cooperation. You agree to:
- Provide all necessary content, images, and login details in a timely manner.
- Respond to feedback and approval requests within 3-5 business days.
- Ensure you have the legal right to use any materials provided to us.
Delays in client feedback may lead to project timelines being pushed back or the project being placed on hold.
5. Intellectual Property
- Ownership: Upon receipt of full and final payment, ownership of the specific website design and custom code for your project is transferred to you.
- Our Tools: Webnity Digital retains ownership of any generic tools, code libraries, or proprietary systems used across multiple client projects.
- Credit: Unless otherwise agreed, we reserve the right to include a small "Website by Webnity" link in the footer of your site and feature the work in our portfolio.
6. Warranties & Liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. However:
- We do not guarantee specific rankings on Google or results from advertising, as these are subject to third-party algorithms.
- Webnity Digital is not liable for any loss of revenue, data, or profit resulting from service downtime or technical issues beyond our direct control.
- Our total liability is limited to the amount paid for the service in question.
7. Hosting & Third-Party Platforms
If we provide hosting, it is subject to our hosting partner's uptime guarantees. We are not responsible for site breaks caused by third-party plugin updates, theme changes, or user error after the project has been handed over.
8. Termination
Either party may terminate a service agreement with 30 days' written notice. Upon termination, the Client remains liable for all work completed up to the termination date. Termination of SEO or maintenance plans stops all active work immediately at the end of the notice period.
9. Privacy
Measurement of and adherence to privacy standards is a core value. Please refer to our Privacy Policy for details on how we handle your data.
